The Governance Committee of the Board is currently seeking applications for a nominee or nominees to be presented for election by the Board of Directors as an Ontario resident Member at Large.

The Ottawa International Airport Authority (OIAA) is a not-for-profit corporation that manages, operates and develops airport facilities and lands in support of the economic growth of the National Capital Region, generating more than $2.5 billion annually in total economic activity in Ottawa and Gatineau. The Authority ensures quality, safe, secure, sustainable and affordable air transportation services are provided to the airport’s customers and communities and be a driver of economic growth within Canada’s Capital Region.

The OIAA Board of Directors comprises professionals from the world of aviation and business, as well as local citizens. Nominations are made by the Minister of Transport, the Government of Ontario, the City of Ottawa, the City of Gatineau, the Ottawa Chamber of Commerce (now the Ottawa Board of Trade), the Ottawa Tourism and Convention Authority, the Gatineau Chamber of Commerce, Invest Ottawa, and the OIAA (by its Governance Committee).

As per the Authority’s by-laws, there are four Members At Large on the Board of Directors, three of whom are to be residents of Ontario and one of whom is to be a resident of Quebec. The current vacancy is an Ontario resident position.

Language Proficiency

Proficiency in both official languages would be an asset. You are encouraged to include in your cover letter, as applicable, your ability to communicate (orally and in writing) and understand French or English as your second official language.

Education and Experience

  • A degree from a recognized university in a relevant field of study, or an acceptable combination of equivalent education, job-related training or experience;
  • Experience serving as a member of a board of directors for a significant public or private sector organization or an executive answerable to stakeholders in the public or private sector;
  • A certificate from the Institute of Corporate Directors or equivalent would be an asset;
  • Experience in one or more of the following areas: accounting or finance; engineering; air transportation; public relations; law; communications; security management; community relations; stakeholder engagement; public policy development; and corporate governance; and
  • Strong business skills and judgment gained through experience in large commercial organizations would be considered an asset.

 

If you are selected for an interview, the following criteria will be assessed:

Knowledge and Skills

  • Knowledge of the mandate and business activities of OIAA and a good understanding of the legislative environment in which it operates;
  • Knowledge of corporate governance and best practices;
  • Financial literacy and;
  • Knowledge in one or more of the following areas may be required:  
    • operation of an airport;
    • air carrier management;
    • tourism;
    • law;
    • accounting, finance, business administration, commerce or economics;
    • strategic planning;
    • engineering;
    • information technology and cyber security; and
    • innovation.
  • Ability to anticipate emerging issues and lead organizational change;
  • Ability to develop effective working relationships with other Board members, the OIAA’s business partners and stakeholders; and
  • Superior communication skills, both written and oral.

The Authority is particularly interested in receiving applications from individuals with a background in IT, cybersecurity or air carrier management.

Eligibility Factors and Conditions

In your cover letter, it will be important that you confirm you meet the following requirements:

The following persons may not be director of OIAA:

  1. Anyone that is less than 18 years of age;
  2. A person who is not an individual;
  3. A person who does not have power under law to contract;
  4. An individual who is not a Canadian citizen or a permanent resident;
  5. An individual who has the legal status of an undischarged bankrupt;
  6. An individual who is found by court to be mentally incompetent or of unsound mind or otherwise incapable;
  7. A person who has been convicted of an indictable offence or an offence related to the violation of any law of Canada or the law of a province relating to securities regulation;
  8. A person who has, in the previous six months, had a relationship with the OIAA or one of its Selecting Bodies that could, in the opinion of the Board as expressed by resolution, reasonably be perceived to interfere with the ability to discharge his or her fiduciary duty to act in the best interests of the OIAA or is a director, officer or employee of any corporation that has, or had such a relationship within that period;
  9. A person that is related to an officer or director of OIAA;
  10. A person who has been an employee of the OIAA; and
  11. An individual who is or who in the last two years has been:
    1. A member of the Senate, House of Commons or the legislature of a province;
    2. an employee or agent of Her Majesty in Right of Canada or of any province of Canada, or an employee or agent of a crown corporation;
    3. an elected official of a municipality;
    4. an officer or employee of a municipality;
    5. a director, officer or employee of an air carrier; or
    6. a shareholder of a subsidiary of the OIAA.   

The following are conditions that must be fulfilled by a successful nominee:

You must be willing to participate in a schedule of Board of Directors meetings as stipulated by the OIAA, as well as any requirements for participation in sub-committees, annual general meetings, or other such duties as may be required.

You must comply with the Public Accountability Principles for Canadian Airport Authorities, possess qualifications set in the relevant corporate legislation, and relevant OIAA by-laws and any other relevant roles and responsibilities for the position as set out in other documents.

You must provide a written declaration to the OIAA that you have read the Conflict of Interest Rules of the OIAA and that, to the best of your knowledge, are in compliance with those rules. You must also complete a questionnaire relating to the Conflict of Interest Rules of the OIAA and the Governance Committee of the OIAA must be satisfied that you are not in a position of a conflict of interest under such rules.
